Overview

These Terms of Service govern the relationship between SynthMind Solutions ("we," "us," or "our") and any client or visitor who engages our services or accesses our website. By engaging our services, you agree to these terms.

Services and Agreements

All services provided by SynthMind Solutions are delivered under flat-fee project agreements. Each engagement is scoped in advance, and pricing is agreed upon before any work begins.

• Project scope, deliverables, and timeline are documented in writing before work starts.
• Changes to scope may affect pricing and timelines, and will be communicated before implementation.
• Payment terms are outlined in each individual project agreement.

Client Ownership of Deliverables

Upon receipt of final payment, the client owns all deliverables produced by SynthMind Solutions in connection with the project. This includes but is not limited to:

• AI agents and workflow configurations
• Custom code, scripts, and automations
• Prompt engineering and system instructions
• Documentation and training materials

SynthMind Solutions retains no licensing rights to delivered work. You may modify, expand, or transfer the system to another developer without restriction.

No Guarantee of Outcomes

While we design every system to generate measurable revenue results, SynthMind Solutions does not guarantee specific revenue outcomes, lead volumes, booking rates, or other performance metrics. Results vary based on your business, offer, market, and how the system is deployed and maintained.

We commit to building systems that perform as designed and to addressing any technical issues that arise during the agreed support period.

Confidentiality

We treat all client information as confidential. We do not share, sell, or disclose your business data, systems, or project details to third parties without your consent. We will sign a mutual NDA upon request.

Intellectual Property

Any tools, frameworks, or methodologies that SynthMind Solutions has developed independently prior to or outside of your engagement remain the property of SynthMind Solutions. Deliverables produced specifically for your project are owned by you upon final payment.

Limitation of Liability

SynthMind Solutions' liability in connection with any project is limited to the fees paid for that project. We are not liable for indirect, incidental, or consequential damages arising from the use or performance of delivered systems.

Governing Law

These terms are governed by the laws of the State of New Jersey. Any disputes arising from these terms or from an engagement with SynthMind Solutions will be subject to the jurisdiction of courts in New Jersey.
